End User License Agreement

1. Acceptance of Terms

This End User License Agreement (“Agreement”) is a legal contract between you (“User,” “you,” or “your”) and JW Contractors LLC (“Company,” “we,” “us,” or “our”). By accessing or using the JW Contractors LLC client portal (the “Portal”), you agree to be bound by this Agreement. If you do not agree, do not access or use the Portal.

2. License Grant and Scope

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for the purpose of viewing project information, documents, invoices, estimates, payments, messages, JW Quality Club membership, and referrals related to services provided by JW Contractors LLC.

Administrator accounts receive additional tools for client, project, estimate, invoice, payment, document, messaging, JW Quality Club, referral, and QuickBooks integration management. Use of administrator features must be limited to authorized Company personnel.

3. Account Registration and Security

Portal accounts are issued by Company administrators. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or suspected breach of security.

4. Acceptable Use and Restrictions

You agree not to:

• Use the Portal for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any portion of the Portal, other user accounts, or Company systems.
• Interfere with or disrupt the integrity or performance of the Portal or its underlying infrastructure.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Portal.
• Upload, transmit, or distribute viruses, malware, or other harmful code.
• Share your account credentials or permit third parties to access the Portal using your credentials.

5. Data, QuickBooks Integration, and Third-Party Services

The Portal may integrate with Intuit QuickBooks Online (“QuickBooks”) to synchronize invoices, estimates, payments, customers, and financial data. By using the Portal, you authorize JW Contractors LLC to access and process QuickBooks data necessary to provide Portal services.

Company-wide financial totals are imported from QuickBooks for administrative reporting. Individual client invoices, estimates, and payments are synchronized only for registered and properly linked portal clients. We do not create QuickBooks records unless explicitly initiated by an authorized administrator.

Your use of QuickBooks is also governed by Intuit’s terms of service and privacy policies. We are not responsible for the availability, accuracy, or performance of QuickBooks or any other third-party service.

6. Intellectual Property

The Portal, including all software, designs, text, graphics, logos, and trademarks, is owned by or licensed to JW Contractors LLC and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any right, title, or interest in the Portal except for the limited license expressly provided herein.

7. Confidentiality

The Portal may contain confidential and proprietary information of JW Contractors LLC and its clients. You agree to hold such information in confidence and not disclose it to any third party except as required by law or with the Company’s prior written consent.

8. Disclaimer of Warranties

THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JW CONTRACTORS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

We may suspend or terminate your access to the Portal at any time, with or without notice, for any reason, including violation of this Agreement. Upon termination, your license to use the Portal ceases immediately, and you must discontinue all use.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Omaha, Nebraska.

12. Changes to this Agreement

We may modify this Agreement from time to time. The updated version will be posted at this URL with a revised effective date. Your continued use of the Portal after changes constitutes acceptance of the revised Agreement.
